The most well-known case of the Legal Bureau “Natalia Onishko and Partners”:


1997-1998, a defence of JSC “Transaero” from a hostile takeover

While conducting a case, the Legal Bureau has proved the acquirement of 12 % of shares in JSC “Transaero” by JSC “Logovaz” (Pesident and Owner- Boris Berezovsky) in defiance of antimonopoly legislation, as by the day when the deal was made JSC “Logovaz” had been a member of a group of entities according to antimonopoly legislation’s classification along with other companies, including JSC “Aeroflot”, United Bank of Moscow, etc., the transaction resulted in a group of entities holding 59 % of shares in JSC “Transaero”. 

It only took a Legal Bureau “Natalia Onishko and Partners” 10 months to conduct 26 arbitration cases in defence of JSC “Transaero”.

Besides, the case created a judicial precedent, - it was the first time in arbitration practice that a company as an issuer (JSC “Transaero”) has challenged a deal on shares’ acquirement as a matter of antitrust legislation’s breach.

Moreover, 5 year arbitration practice, during which the similar cases were only raised on the application of antitrust agencies as was from the time a federal law “On protection of competition” took effect, was thus amended.
